Terms of Service

These Terms of Service govern access to and use of the WoxLearn website, software platforms, applications and related services. Effective date: 30 July 2026 Please read these Terms carefully. By creating an account, purchasing a subscription, accepting an invitation from an institution, or otherwise accessing or using the Services, you agree to be bound by these Terms.

1. About These Terms

These Terms of Service (“Terms”) form a legally binding agreement between:

WoxLearn Ltd., a company registered in Barbados under company number 54800, with its registered office at SUITE 102 WARRENS COURT WARRENS SAINT MICHAEL  (“WoxLearn,” “we,” “us” or “our”); and the individual or legal entity accessing or using the Services (“you” or “your”).

If you access or use the Services on behalf of a university, medical school, college, school, tutoring centre, company, professional association or other organization, you confirm that you are authorized to accept these Terms on its behalf. In that case, “you” and “your” also refer to that organization.

If you do not agree to these Terms, you must not access or use the Services.

2. The WoxLearn Services

“Services” means the websites, software, applications, platforms and associated services made available by WoxLearn, including:

  • Question Bank Manager (“QBM”) and its question-bank, assessment, analytics and content-management features;
  • ClassDeck and its presentation, polling, active-learning, engagement and classroom-interaction features;
  • learner portals, dashboards and progress-tracking tools;
  • product demonstrations, trials, pilots and beta services;
  • integrations, application programming interfaces and related technical services;
  • customer support, onboarding and training; and
  • any other WoxLearn product or service that refers or links to these Terms.

Specific features may be governed by an order form, subscription plan, institutional agreement, Data Processing Addendum, service-level agreement or other written agreement.

If there is a conflict between these Terms and a separately signed agreement with WoxLearn, the separately signed agreement will control to the extent of that conflict.

3. Eligibility and Authorized Users

3.1 Adults and organizations

You may create an individual account only if you:

  • are at least 18 years old or have reached the age of legal majority in your jurisdiction;
  • have the legal capacity to enter into a binding agreement; and
  • are not prohibited from using the Services under applicable law.

3.2 Learners under the age of majority

A learner who is under the age of legal majority may use the Services only:

  • through an account created, approved or managed by an authorized educational institution;
  • with the involvement or consent of a parent or legal guardian where required by law; or
  • through another age-appropriate access method approved by WoxLearn.

Institutions are responsible for obtaining any permissions, notices or consents required for their learners to use the Services.

3.3 Institutional authorization

Institutions are responsible for: 

  • deciding which individuals may access their account;
  • assigning appropriate administrator, educator and learner roles;
  • keeping user lists and permissions current;
  • promptly removing access when an individual is no longer authorized; and
  • ensuring that their users comply with these Terms and any institutional policies governing the Services.

4. Accounts and Account Security

You agree to provide accurate, current, and complete registration information and to keep that information updated. You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • using strong and unique passwords;
  • enabling available security features where appropriate;
  • preventing unauthorized use of your account;
  • ensuring that only authorized individuals use institutional accounts; and
  • all activities performed through your account, except to the extent caused by a breach of WoxLearn’s obligations.

You must not share an individual account with another person or permit multiple people to use credentials intended for one authorized user.

You must notify WoxLearn promptly at security@woxlearn.com if you believe that an account has been compromised, accessed without authorization or used in violation of these Terms.

We may require you to reset credentials, verify your identity or take other reasonable security measures.

5. Orders and Contract Formation

The features, subscription period, fees, user limits and other commercial terms applicable to a purchase will be shown:

  • on the relevant checkout or subscription page;
  • in an order form;
  • in a written quotation;
  • in an institutional agreement; or
  • in another document accepted by both parties.

Submitting a request for a demonstration or quotation does not create a paid contract.

A paid contract is formed when WoxLearn accepts your order, activates your paid subscription, or confirms the agreement in writing.

You are responsible for reviewing all order details before completing a purchase.

6. Subscriptions, Fees and Payment

6.1 Subscription plans

Certain Services require a paid subscription. Subscription features and limits may vary according to the selected plan.

Unless an order form states otherwise, subscriptions are granted for the specified subscription period and may not be transferred to another organization. 

6.2 Fees

You agree to pay all applicable fees displayed at checkout or stated in the relevant order form or agreement. Unless otherwise stated:

  • fees are quoted exclusive of applicable taxes;
  • fees must be paid in the currency stated at the time of purchase;
  • fees are due in advance;
  • usage above an agreed limit may result in additional charges, provided those charges have been disclosed; and
  • you are responsible for providing accurate billing information.

WoxLearn will not add optional paid services or charges without your express agreement.

6.3 Taxes

You are responsible for taxes, duties, levies or similar government charges associated with your purchase, except taxes based on WoxLearn’s net income.

 Where required, WoxLearn may collect and remit VAT, sales tax or another applicable tax.

6.4 Payment authorization

When you provide a payment method, you authorize WoxLearn and its payment processor to charge the applicable fees and taxes.

You must ensure that your payment information remains accurate and that you are authorized to use the selected payment method.

6.5 Failed payments

If a payment cannot be completed, WoxLearn may:

  • notify you and request updated payment information;
  • temporarily restrict paid features;
  • suspend the relevant subscription after providing reasonable notice; or
  • terminate the subscription if payment remains overdue.

We will not delete institution-controlled educational content solely because of an initial failed payment without first providing reasonable notice and an opportunity to resolve the issue, unless continued storage would be unlawful or create a security risk.

7. Automatic Renewal

Where a subscription automatically renews, the renewal period, renewal price or pricing method, and cancellation process will be disclosed before purchase.

Unless the applicable order states otherwise:

  • the subscription will renew for a period equal to the previous subscription period;
  • the payment method on file may be charged at renewal;
  • WoxLearn will provide any renewal reminder required by applicable law; and
  • you may prevent renewal by canceling before the renewal date using the account settings or contacting WoxLearn.
  • WoxLearn may change the price applicable to a future renewal by giving reasonable advance notice. A price change will not apply retrospectively or during a prepaid subscription period unless required by law or agreed with you.

Where required by law, you will have the right to cancel before a new price takes effect.

8. Trials, Demonstrations and Pilot Programs

WoxLearn may offer free trials, demonstrations, proofs of concept, pilots or evaluation access.

Unless otherwise agreed:

  • trial access is provided for evaluation only;
  • trial features may be limited;
  • trial data may be deleted after the trial ends;
  • support and availability commitments applicable to paid subscriptions may not apply;
  • WoxLearn may end or modify a free trial on reasonable notice; and
  • a trial will not convert into a paid subscription unless you have been clearly informed of the conversion terms and have authorized any resulting payment.

You should export any content you need before a trial or pilot expires.

9. Cancellation and Consumer Rights

9.1 Cancellation of subscriptions

You may cancel a subscription using the cancellation controls in your account or by contacting billing@woxlearn.com.

Cancellation ordinarily takes effect at the end of the current paid subscription period unless:

  • the order form provides otherwise;
  • WoxLearn agrees to an earlier date; or
  • applicable law gives you an earlier cancellation right.

9.2 Consumer cancellation rights

If you purchase the Services as a consumer, you may have statutory cancellation, refund and other consumer rights that vary by jurisdiction.

Nothing in these Terms limits or excludes a consumer right that cannot lawfully be limited or excluded.

Where applicable, WoxLearn will provide the required pre-contract information and instructions for exercising a statutory cancellation right. 

If you expressly request immediate access to a digital service during a statutory cancellation period, the legal consequences of that request will be explained before the Service begins.

9.3 Refunds

Except where required by law or stated in the applicable order:

  • fees for a subscription period that has already begun are not automatically refundable;
  • cancellation prevents future renewal rather than reversing past charges; and
  • no refund is provided for partial use, unused accounts or failure to use available features.

WoxLearn may issue a refund or service credit where:

  • the law requires it;
  • the Service has not been supplied as agreed;
  • WoxLearn terminates a paid Service without cause before the end of the paid period; or
  • WoxLearn determines that a refund or credit is appropriate.

10. License to Use the Services

Subject to these Terms and payment of applicable fees, WoxLearn grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Services during the applicable subscription or authorization period.

You may use the Services only:

  • for your own educational, academic, administrative or internal business purposes;
  • within the purchased user and usage limits;
  • in accordance with the assigned user role;
  • in compliance with applicable law; and
  • in accordance with these Terms and any relevant order or institutional agreement.

The Services are licensed, not sold. No ownership rights in the Services are transferred to you.

11. Your Content

“Customer Content” means questions, assessments, documents, presentations, images, videos, educational materials, responses, comments, feedback, data and other content submitted to or created within the Services by you or your authorized users.

11.1 Ownership

As between you and WoxLearn, you or your institution retain ownership of Customer Content and any intellectual-property rights you hold in that content.

WoxLearn does not acquire ownership of Customer Content merely because it is uploaded to or processed through the Services.

11.2 License needed to provide the Services

You grant WoxLearn a limited, non-exclusive license to host, reproduce, process, transmit, display, adapt and otherwise use Customer Content only as reasonably necessary to:

  • provide and operate the Services;
  • perform the relevant agreement;
  • support authorized integrations;
  • prevent or address security and technical issues;
  • comply with lawful instructions or legal obligations; and
  • perform other activities described in the Privacy Policy or applicable institutional agreement.

This license ends when the relevant Customer Content is deleted from WoxLearn’s active systems, subject to reasonable backup cycles, legal retention requirements and any continuing instructions from an institutional customer.

11.3 Your responsibilities

You represent and warrant that:

  • you have the necessary rights and permissions to submit Customer Content;
  • your Customer Content does not infringe another person’s intellectual property, privacy or other legal rights;
  • your processing of personal data through the Services is lawful;
  • you will not upload content that you are prohibited from disclosing; and
  • you will follow applicable institutional policies concerning assessment materials and learner records.

You remain responsible for the accuracy, quality, legality and appropriateness of Customer Content.

12. Assessment Content and Academic Integrity

Assessment materials may be confidential, copyrighted, and security-sensitive.

Unless expressly authorized, users must not:

  • copy, photograph, record, reproduce, or distribute restricted assessment content;
  • share examination questions, answer keys or secure question-bank materials;
  • provide unauthorized assistance during an assessment;
  • impersonate another user;
  • obtain or attempt to obtain advance access to restricted content;
  • bypass time limits, access rules, identity checks or other assessment controls;
  • interfere with question randomization, browser restrictions or integrity controls;
  • use automated tools or generative AI during an assessment where the educator or institution has prohibited such use; or
  • use learner, educator or institutional data for an unauthorized purpose.

Educators and institutions are responsible for establishing and communicating their academic-integrity rules, permitted resources and consequences for violations.

WoxLearn may provide information about suspected misuse to the relevant institution where permitted by law and the applicable agreement. The institution remains responsible for investigating and determining any academic or disciplinary consequence.

13. AI-Assisted and Automated Features

Certain Services may use artificial intelligence, machine learning, algorithms or automated processing to:

  • generate suggested questions or learning activities;
  • recommend content or difficulty levels;
  • assist with tagging, categorization or blueprinting;
  • produce summaries or feedback;
  • identify performance or engagement patterns;
  • support formative scoring;
  • suggest learning pathways; or
  • provide other analytical outputs.

AI-generated and automated outputs may contain errors, omissions, bias or unsuitable recommendations. You must review outputs before relying on or distributing them.

You must not use an AI-generated output as the sole basis for:

  • a high-stakes academic decision;
  • a disciplinary action;
  • admission, dismissal, progression or graduation;
  • a decision concerning employment;
  • a medical or clinical decision; or
  • another decision that may have a significant effect on an individual,

unless such use is lawful, appropriately validated, disclosed to affected individuals and subject to meaningful human review.

Educators and institutions remain responsible for reviewing assessment content, answer keys, scoring rules and academic decisions.

WoxLearn does not use identifiable institution-controlled Customer Content to train general-purpose AI models unless the institution expressly agrees in writing.

14. Educational and Medical Disclaimer

WoxLearn provides educational technology and related tools. The Services do not constitute:

  • medical advice;
  • diagnosis or treatment;
  • legal advice;
  • accreditation advice;
  • an official curriculum standard;
  • a guarantee of examination performance; or
  • a guarantee of admission, certification, licensure or employment.

Content created by educators, institutions, users or automated tools may be incomplete or inaccurate.

Qualified educators and other professionals must exercise independent judgment when selecting, reviewing and using educational content.

The Services must not be used as a substitute for professional medical judgment or direct patient care.

15. Acceptable Use

You must not use or attempt to use the Services to:

  • violate any law or another person’s rights;
  • upload unlawful, fraudulent, defamatory, abusive or discriminatory content;
  • harass, threaten, exploit or harm another person;
  • collect or disclose personal data without proper authorization;
  • introduce malware, malicious code or harmful files;
  • gain unauthorized access to an account, system or network;
  • probe, scan or test system vulnerabilities without written authorization;
  • interfere with the availability, integrity or performance of the Services;
  • circumvent authentication, usage limits, access restrictions or security controls;
  • reverse engineer, decompile or disassemble the Services, except where applicable law expressly permits it;
  • scrape, crawl, harvest or extract data through unauthorized automated means;
  • create a competing product using protected elements of the Services;
  • rent, resell, sublicense or commercially distribute access without written permission;
  • remove copyright, trademark or proprietary notices;
  • submit content that infringes copyright, trademark, confidentiality or privacy rights;
  • generate or distribute deceptive, fraudulent or impersonating content;
  • use the Services to develop malware, facilitate cyberattacks or engage in illegal surveillance; or
  • use the Services in a way that creates unreasonable technical load or risk.

Reasonable use of authorized APIs and institution-approved integrations is permitted within the relevant documentation and usage limits.

16. Privacy and Data Protection

WoxLearn’s collection and use of personal data in its capacity as a controller are described in the WoxLearn Privacy Policy.

Where WoxLearn processes personal data on behalf of an institution, that processing may also be governed by:

  • a Data Processing Addendum;
  • an institutional agreement;
  • the institution’s documented instructions; and
  • applicable data-protection law.

An institution is responsible for determining whether its proposed use of the Services is lawful and for providing any notices or obtaining any permissions required from its educators, learners, parents, guardians or other individuals.

You must not upload special-category, health, biometric or similarly sensitive information unless:

  • the relevant feature is intended to process it;
  • you have a lawful basis and any additional authorization required;
  • the applicable institutional agreement permits it; and
  • appropriate safeguards are in place.

17. Security

WoxLearn will maintain technical and organizational safeguards designed to protect the confidentiality, integrity and availability of the Services and personal data.

You acknowledge that no online service can guarantee complete security.

You must use the Services responsibly and must not submit passwords, payment-card information, patient records or other highly sensitive information through general support forms, chat functions or fields not designed for that information.

Security incidents should be reported promptly to security@woxlearn.com.

18. Third-Party Services and Integrations

The Services may integrate with or contain links to learning management systems, identity providers, presentation tools, video services, cloud platforms, payment processors, and other third-party products.

Your use of a third-party service may be governed by separate terms and privacy notices issued by that provider.

WoxLearn is not responsible for a third-party service merely because it is linked to or interoperates with the Services. However, this does not limit WoxLearn’s responsibility for its own selection or management of service providers where the law or an applicable agreement imposes that responsibility.

WoxLearn may modify or discontinue an integration if the third-party provider changes or discontinues its technology, terms or access.

19. Intellectual Property Rights

The Services, including their software, source code, object code, designs, interfaces, databases, documentation, trademarks, graphics and WoxLearn-created content, are owned by or licensed to WoxLearn and are protected by intellectual-property laws.

Except for the limited license expressly granted in these Terms, no right, title or interest in the Services is transferred to you.

“WoxLearn,” “Question Bank Manager,” “QBM,” “ClassDeck” and associated names, designs and logos are trademarks or trading names of WoxLearn or its licensors. You may not use them without prior written permission, except for accurate identification of the Services.

20. Feedback

You may provide ideas, suggestions, or feedback about the Services.

You grant WoxLearn a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or payment, provided WoxLearn does not publicly identify you as its source without permission. 

This section does not transfer ownership of your Customer Content, assessment materials or confidential institutional information.

21. Confidentiality

Where you receive non-public information about WoxLearn’s technology, security, pricing, product plans or business operations, you must:

  • use it only for the purpose for which it was disclosed;
  • protect it using reasonable care; and
  • not disclose it to another person except as authorized or required by law.

WoxLearn will apply corresponding confidentiality obligations to non-public institutional and commercial information received from you.

Information is not confidential if it:

  • is lawfully public through no breach of an obligation;
  • was already lawfully known to the receiving party;
  • is independently developed without use of the confidential information; or
  • is lawfully obtained from another source without a confidentiality obligation.

22. Service Availability and Maintenance

WoxLearn aims to provide reliable Services but does not guarantee uninterrupted or error-free availability unless a separate service-level agreement expressly provides otherwise.

Access may be interrupted because of:

  • scheduled maintenance;
  • emergency maintenance;
  • security incidents;
  • third-party service failures;
  • internet or infrastructure outages;
  • legal or regulatory requirements; or
  • events outside WoxLearn’s reasonable control.

Where practicable, WoxLearn will provide advance notice of planned maintenance that is expected to materially affect access.

23. Changes to the Services

WoxLearn may update the Services to:

  • improve functionality or usability;
  • add or remove features;
  • maintain security;
  • comply with law;
  • address technical limitations; or
  • respond to changes in third-party technology.

WoxLearn will not materially reduce the core functionality of a paid Service during a current prepaid subscription period without a legitimate reason.

Where a change materially disadvantages a paying customer, WoxLearn will provide reasonable notice and, where appropriate or required by law, an opportunity to cancel or receive a proportionate remedy.

24. Beta and Preview Features

Features identified as beta, preview, experimental or early access may be incomplete, changed substantially or discontinued.

Unless otherwise agreed:

  • beta features are provided for testing and evaluation;
  • they may contain errors;
  • they may not be suitable for high-stakes assessments or production use;
  • availability and support commitments may not apply; and
  • you use them at your own discretion and risk.

You must not place sensitive or critical data into a beta feature unless WoxLearn has expressly confirmed that the feature is approved for that data.

25. Suspension

WoxLearn may suspend access where reasonably necessary to:

  • prevent or address a security risk;
  • stop unlawful or abusive activity;
  • protect assessment integrity;
  • prevent material harm to WoxLearn, its customers or users;
  • respond to a valid legal requirement;
  • address overdue fees; or
  • investigate a material breach of these Terms.

Where practicable, WoxLearn will:

  • notify you of the reason for suspension;
  • limit the suspension to the affected account, user or feature;
  • provide a reasonable opportunity to resolve the issue; and
  • restore access when the reason for suspension has been addressed.

Immediate suspension may be necessary where delay could create material harm, legal exposure or a security risk.

26. Termination

26.1 Termination by you

You may stop using the Services at any time and may cancel a subscription as described in these Terms and the applicable order. 

26.2 Termination by WoxLearn

WoxLearn may terminate access if:

  • you materially or repeatedly breach these Terms;
  • required fees remain unpaid after reasonable notice;
  • your use creates a serious legal, security or academic-integrity risk;
  • continuing to provide the Service would violate applicable law;
  • you use the Services fraudulently or unlawfully; or
  • the relevant Service is discontinued.

Except in cases requiring immediate action, WoxLearn will ordinarily provide notice and a reasonable opportunity to cure a remediable breach.

If WoxLearn discontinues a paid Service without cause before the end of a prepaid subscription period, WoxLearn will provide a proportionate refund, credit or comparable replacement service, unless a separately signed agreement provides another remedy.

26.3 Effect of termination

After termination:

  • your license to use the Services ends;
  • outstanding payment obligations remain due;
  • provisions intended to survive termination will remain effective; and
  • Customer Content will be handled in accordance with the applicable agreement, Privacy Policy and retention practices.

27. Data Export and Deletion

Available data-export tools depend on the product and subscription plan.

Before canceling or allowing a subscription to expire, you are responsible for exporting content you are entitled to retain.

For institution-managed accounts, WoxLearn will follow the institution’s authorized instructions concerning return, export, or deletion of institution-controlled data.

After the applicable export or transition period, WoxLearn may delete or anonymize Customer Content, subject to:

  • legal retention obligations;
  • unresolved disputes;
  • security and fraud-prevention requirements;
  • agreed backup cycles; and
  • any applicable institutional agreement or Data Processing Addendum.

28. Copyright and Intellectual Property Complaints

WoxLearn respects intellectual-property rights.

A rights holder who believes that material available through the Services infringes their rights may contact:

The notice should identify:

  • the protected work;
  • the allegedly infringing material;
  • where the material appears;
  • the complainant’s contact details;
  • the basis of the complaint; and
  • a statement that the information supplied is accurate and submitted in good faith.

WoxLearn may remove or restrict access to disputed material while reviewing a complaint.

29. Disclaimers

To the maximum extent permitted by law:

  • the Services are provided on an “as available” basis;
  • WoxLearn does not guarantee that every feature will meet every user’s requirements;
  • WoxLearn does not guarantee that user-generated or AI-generated content is accurate;
  • WoxLearn does not guarantee a particular educational, examination or institutional outcome; and
  • WoxLearn is not responsible for decisions made by educators or institutions using information obtained through the Services.

Nothing in this section excludes an express warranty contained in a signed agreement or a statutory right that cannot lawfully be excluded.

30. Limitation of Liability

30.1 Liability that is not excluded

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • deliberate misconduct;
  • breach of a liability that cannot lawfully be excluded; or
  • a consumer’s mandatory statutory rights.

30.2 Consumers

If you use the Services as a consumer, WoxLearn is responsible for loss or damage that is a foreseeable result of WoxLearn breaching these Terms or failing to use reasonable care and skill.

WoxLearn is not responsible for:

  • loss that was not foreseeable;
  • business losses arising from consumer use;
  • loss caused by your failure to follow reasonable instructions; or
  • loss caused by circumstances outside WoxLearn’s reasonable control.

30.3 Business and institutional users

If you use the Services for business, professional or institutional purposes, neither party will be liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, except where such an exclusion is prohibited by law.

Subject to Section 30.1, each party’s total aggregate liability arising out of or relating to the Services during any 12-month period will not exceed the greater of the fees paid or payable by you for the affected Services during that 12-month period.

A separately signed institutional agreement may provide different liability limits.

31. Business-User Indemnity

This section applies only where you use the Services for business, professional or institutional purposes.

You will indemnify WoxLearn against third-party claims, damages and reasonable costs arising from:

  • Customer Content that infringes another person’s rights;
  • your unlawful use of the Services;
  • your material breach of Sections 11, 12 or 15; or
  • your failure to obtain a permission or authorization that you were responsible for obtaining.

WoxLearn must:

  • notify you reasonably promptly of the claim;
  • allow you reasonable control of the defense and settlement; and
  • provide reasonable cooperation at your expense.

You may not settle a claim in a manner that admits fault by WoxLearn or imposes a non-financial obligation on WoxLearn without its consent.

32. Events Outside Reasonable Control

Neither party will be responsible for delay or failure caused by circumstances outside its reasonable control, including natural disasters, widespread telecommunications failures, war, civil disturbance, government action, labor disruption, epidemic, utility failure or major third-party infrastructure failure.

This section does not excuse payment obligations for Services already provided. 

The affected party must take reasonable steps to reduce the impact and resume performance.

33. Changes to These Terms

WoxLearn may update these Terms to reflect:

  • changes to the Services;
  • legal or regulatory developments;
  • security requirements;
  • new business practices; or
  • changes that improve clarity.

The updated Terms will display a revised effective date.

For material changes, WoxLearn will provide reasonable advance notice through the website, account interface, or email.

A material change will not apply retrospectively.

If a material change significantly disadvantages a paying user, the user may have a right to cancel before the change takes effect, where required by law or stated in the applicable notice.

34. Notices and Communications

You agree that WoxLearn may send contractual and service-related communications electronically, including by email, account notification, or publication within the Services.

You are responsible for keeping your contact information current.

Notices to WoxLearn should be sent to:

Formal legal notices may also be sent to WoxLearn’s registered office.

35. Complaints and Disputes

Please contact WoxLearn first so that we have an opportunity to resolve your concern.

A complaint should include:

  • your name and account email;
  • the relevant institution, where applicable;
  • a description of the issue;
  • the resolution you are seeking; and
  • any relevant supporting information.

WoxLearn will review complaints fairly and respond within a reasonable period.

Consumers may also have the right to contact a consumer-protection body, regulator, supervisory authority or approved alternative-dispute-resolution provider.

Nothing in these Terms prevents either party from seeking urgent legal relief where necessary to protect confidential information, intellectual property, security or personal data.

36. Governing Law and Courts

These Terms are governed by the laws of Barbados, without regard to conflict-of-laws rules.

The courts of Barbados will have jurisdiction over disputes arising from these Terms.

If you are a consumer, this section does not deprive you of any mandatory protection or right to bring a claim in the courts available to you under the law of your place of residence.

A separately signed institutional agreement may specify different governing law and dispute-resolution arrangements.

37. General Provisions

37.1 Entire agreement

These Terms, together with any applicable order form, Privacy Policy, Data Processing Addendum and separately signed agreement, constitute the agreement between the parties concerning the Services.

37.2 Assignment

You may not assign or transfer these Terms without WoxLearn’s prior written consent.

WoxLearn may assign these Terms as part of a merger, acquisition, corporate reorganization or sale of all or substantially all of the relevant business, provided that the assignment does not reduce mandatory consumer protections.

37.3 No waiver

Failure to enforce a provision does not waive the right to enforce it later.

37.4 Severability

If a provision is found invalid or unenforceable, it will be interpreted or modified to the minimum extent necessary, and the remaining provisions will continue in effect.

37.5 No partnership or agency

These Terms do not create a partnership, employment relationship, franchise, joint venture or agency relationship between you and WoxLearn.

37.6 Third-party rights

Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them.

37.7 Headings and summaries

Headings and summaries are provided for convenience and do not change the meaning of these Terms.
